Software License & SaaS Agreement for Dizibook Services

Part 1 β Purpose, Scope, and Definitions
1. Purpose of the Agreement
This Hybrid Agreement governs:
- The use of the Dizibook software when installed on a user's device (via APK, app store, or direct installation).
- The access to Dizibook's cloud-based services and features provided via web or app (Software-as-a-Service or SaaS model).
- The interaction between installed software and cloud services to deliver the booking, payment, and management functionalities.
2. Scope
This agreement covers:
- License grant for the installed app (rights and restrictions for use).
- Subscription terms for accessing Dizibook's hosted SaaS services.
- Integration with third-party services (e.g., payment gateways, OTA channel managers).
- Data ownership and protection obligations.
- User responsibilities when using both the installed software and hosted services.
- Termination, refunds, and dispute resolution procedures.
3. Definitions
For the purposes of this Agreement:
"Application" β The Dizibook software program provided by the Company, downloadable and installable on any compatible device.
"SaaS Service" β The cloud-hosted Dizibook platform accessible via web browser or through the Application, including all associated features.
"License" β The limited, non-exclusive right granted to the user to install and use the Application in accordance with this Agreement.
"Subscription Plan" β The paid or trial service package offered by the Company, including Basic and Premium tiers.
"User Data" β All information submitted, stored, or processed by the user via the Service.
"Free Trial" β A temporary, no-cost access period (currently 15 days) offered for evaluation purposes.
Part 2 β License Grant, Restrictions, and Intellectual Property Rights
1. License Grant
The Company grants You a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use the Application on a compatible Device solely for Your business or personal use in accordance with this Agreement.
- Access and use the SaaS Service via a web browser or the Application during the term of your active Subscription or Free Trial.
This license does not constitute a sale of the Application or any rights therein; all rights not expressly granted are reserved by the Company.
2. Restrictions on Use
You agree not to:
- Resell, sublicense, rent, lease, or distribute the Application or SaaS Service without written consent from the Company.
- Modify, adapt, translate, reverse-engineer, decompile, or disassemble any part of the Application, except where such restriction is prohibited by law.
- Circumvent or attempt to bypass any security features, licensing controls, or access restrictions.
- Use the Application or SaaS Service to create a competing product or service.
- Interfere with or disrupt servers, networks, or infrastructure connected to the Service.
3. Ownership of Intellectual Property
All rights, titles, and interests in and to the Application, the SaaS platform, associated databases, logos, trademarks, trade names, and content and design elements are and will remain the exclusive property of the Company and/or its licensors.
Part 3 β Subscription Terms, Fees, and Payment Conditions
1. Subscription Plans
Basic Plan
- Price: βΉ599 per month + applicable taxes (18% GST as per Indian law).
- Features: Core booking management tools, essential reports, and standard support.
Premium Plan
- Price: Determined based on customer requirements, volume of usage, and custom feature integration.
- Features: All Basic features plus advanced analytics, priority support, API integrations, and tailored business solutions.
2. Free Trial
- New customers are eligible for a 15-day free trial of the Basic Plan.
- No credit card is required during the trial period unless otherwise stated.
- At the end of the trial, continued access requires switching to a paid subscription plan.
- If the user does not upgrade to a paid plan, the account will be suspended until payment is made.
3. Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis, depending on the chosen billing cycle.
- Payments must be made through the Company's approved payment gateways (e.g., Razorpay, Stripe).
- All amounts are non-refundable, except as expressly stated in the Refund & Cancellation Policy.
4. Taxes
- All fees are exclusive of applicable taxes, levies, or duties imposed by governmental authorities.
- Customers in India will be charged 18% GST in accordance with Indian tax laws.
- International customers are responsible for paying any VAT, sales tax, or other applicable taxes in their jurisdiction.
Part 4 β User Data, Privacy Obligations, and Data Processing Compliance
1. Data Ownership
You retain full ownership of all data, content, and materials that you input, upload, or generate using the Service ("User Data"). By using the Service, you grant the Company a limited, non-exclusive, worldwide license to store, process, and display User Data solely for the purpose of providing the Service.
2. Data Privacy Compliance
The Company is committed to complying with all applicable data protection laws, including:
- DPDP Act, 2023 (India)
- General Data Protection Regulation (GDPR) (EU)
- California Consumer Privacy Act (CCPA) (USA), if applicable.
3. Data Storage & Security
- User Data is stored on secure servers in compliance with ISO 27001 standards (or equivalent security frameworks).
- The Company implements encryption in transit (TLS) and encryption at rest (AES-256) to protect sensitive information.
- Access to User Data is restricted to authorized personnel and service providers bound by confidentiality agreements.
Part 5 β Service Availability, Support, and Maintenance
1. Service Availability
The Company will use commercially reasonable efforts to make the SaaS Service available 24 hours a day, 7 days a week, except during:
- Scheduled maintenance windows (Company will provide at least 24 hours prior notice).
- Emergency maintenance (Company will notify users as soon as practicable).
- Downtime caused by factors beyond the Company's reasonable control (force majeure, third-party outages, internet failures, etc.).
2. Support Channels
The Company will provide support for the Service through the following channels:
- Email support: support@dizibook.com (primary channel).
- Helpdesk portal: via in-app or web dashboard (where available).
- Phone support: available for Premium Plan users during business hours (MondayβFriday, 9:00 AMβ6:00 PM IST).
3. Support Response Times
- Basic Plan Users β Response within 2 business days for non-critical issues.
- Premium Plan Users β Response within 1 business day for non-critical issues; priority handling for urgent issues.
- Critical issues (Service down, booking system failure) will receive an initial response within 6 hours, regardless of plan.
Part 6 β General Legal Provisions
1. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Hassan, Karnataka, India.
2. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Company shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of revenue, profits, goodwill, or data, arising from the use of or inability to use the Service.
- The Company's total cumulative liability for all claims under this Agreement shall not exceed the total subscription fees paid by the User in the twelve (12) months preceding the event giving rise to such claim.
3. Disclaimer of Warranties
The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. The Company disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
4. User Termination Rights
The User may terminate this Agreement and their subscription at any time by providing thirty (30) days' written notice to the Company via email or through the account settings. No refunds will be provided unless otherwise stated in the Refund & Cancellation Policy.
5. Force Majeure
The Company shall not be liable or responsible for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, strikes, lockouts, acts of terrorism, war, civil unrest, governmental actions, internet or telecommunication failures, or interruptions by third-party service providers.
